1. Agreement
These Terms and Conditions ("Terms") govern your access to and use of FoundrProtocol (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, our Refund Policy, and any other policies referenced here. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorised use. We may suspend or terminate accounts that violate these Terms.
4. The Service
FoundrProtocol provides a structured venture validation framework, including sequence-based questionnaires, automated and AI-generated outputs, Audit Serial verification, and supporting resources. The Service is provided for informational and strategic-planning purposes only and does not constitute legal, financial, investment, tax, or professional advice. See our Disclaimer.
5. Fees, Payment & No Refunds
Certain features require payment. Fees are presented before purchase and are payable in advance via our third-party payment processor. All fees are non-refundable, except where a refund is required by mandatory consumer-protection law. We may change fees prospectively; existing purchases are not affected. 6. User Content & Licence
You retain ownership of the content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display your User Content, and to use it as input to automated and AI systems, solely to operate, secure, and improve the Service for you. You represent that you have all rights necessary to submit your User Content.
7. Ownership of Inputs & Outputs
As between you and us, you own your User Content (inputs) and the AI-generated outputs derived from your inputs through the Service, subject to the licence in Section 6 and to any third-party rights in the underlying models. You are responsible for evaluating outputs before relying on them.
8. No Confidentiality / No NDA
Submission of ideas, plans, or other User Content does not create any confidentiality, fiduciary, or non-disclosure relationship beyond the protections described in our Privacy Policy. Do not submit information you regard as a trade secret or that you are contractually prohibited from disclosing.
9. Acceptable Use
You must comply with our Acceptable Use Policy. Without limiting it, you agree not to:
- Use the Service for any unlawful, infringing, fraudulent, deceptive, or harmful purpose.
- Use the Service in furtherance of money laundering, terrorism financing, bribery, corruption, or sanctions evasion.
- Use the Service to develop, promote, or operate ventures in prohibited or unlicensed regulated sectors, including narcotics, weapons, unlicensed financial services, unlicensed virtual-asset / crypto activity, gambling where prohibited, and adult content where prohibited.
- Submit third-party confidential information, trade secrets, or personal data of others without a lawful basis.
- Impersonate any person or entity, including investors, founders, advisers, or government bodies.
- Scrape, crawl, reverse engineer, extract models, or attempt prompt injection or other manipulation of our systems.
- Access or attempt to access content, accounts, or systems belonging to other users.
- Transmit spam, phishing, malware, or conduct denial-of-service activity.
- Use outputs to mislead investors, regulators, customers, or counterparties.
- Interfere with the integrity, security, or performance of the Service.
10. Sanctions & Export Control
You warrant that you are not, and are not acting on behalf of any person or entity that is, the target of sanctions administered by the United Nations, the UAE, the United States (including OFAC), the United Kingdom, or the European Union, and that you will not use the Service in breach of any applicable sanctions or export-control laws.
11. Verification & KYC
We may require identity verification (including KYC information) at any time to comply with law, prevent fraud or abuse, or process payments. We may suspend or restrict access pending verification, and may refuse or terminate service where verification fails.
12. AI Output Disclaimer
Outputs are generated by automated and AI systems. They may be incomplete, inaccurate, biased, or out of date, and should not be relied on as legal, financial, investment, tax, or other professional advice. You are solely responsible for any decisions you make based on outputs from the Service.
13. Audit Serial Verification — Scope & Limits
A Audit Serial confirms that a protocol was completed and submitted through the Service on a given date. It does not endorse, certify, validate, or guarantee the legality, accuracy, viability, investment merits, or funding readiness of any venture, person, or User Content. Third parties should perform their own due diligence.
14. Referral Programme
Where we offer a referral programme, use is subject to our Referral Programme Terms. We may modify, suspend, or terminate the programme, and revoke rewards for fraud or abuse, at any time.
15. Third-Party Services
The Service relies on third-party providers for payments, email, hosting, automation, and analytics. Your use of those features is also subject to the third party's terms. We are not responsible for third-party services or content.
16. Beta Features & Availability
We may offer beta or preview features that are provided "as is" and may be changed, restricted, or withdrawn at any time. We do not offer any uptime or service-level commitment unless we expressly agree one with you in writing.
17. Intellectual Property
The Service, including all software, designs, text, graphics, methodologies, and trademarks, is owned by FoundrProtocol and its licensors and is protected by intellectual property laws. No rights are granted except as expressly set out in these Terms.
18. Abuse & IP Infringement Reports
To report abuse, security issues, or alleged intellectual-property infringement, email help@foundrprotocol.com with sufficient detail for us to investigate. We may remove content and suspend accounts where appropriate.
19. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will achieve any specific outcome.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRPROTOCOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
21. Indemnity
You agree to indemnify and hold harmless FoundrProtocol and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses arising out of your User Content, your use of the Service, or your breach of these Terms.
22. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Provisions intended to survive termination (including Sections 5–8, 10, 17, 19–21, 23, 26–30) will continue to apply.
23. Electronic Communications
You consent to receive communications from us electronically, including notices, agreements, and disclosures. Electronic communications satisfy any legal requirement that such communications be in writing.
24. Force Majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, internet or third-party-service outages, or pandemics.
25. Changes to the Service or Terms
We may modify the Service or these Terms at any time. Material changes to the Terms will be communicated by posting an updated version on this page. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
26. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC). Any dispute, difference, controversy, or claim arising out of or in connection with these Terms shall be settled by the DIFC Small Claims Tribunal (SCT). All proceedings shall be conducted in English.
27. Consumer Rights Carve-Out
Nothing in these Terms limits or excludes any rights you have under mandatory consumer-protection law that cannot be waived by agreement.
28. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.
29. Miscellaneous
These Terms, together with the documents they reference, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. There are no third-party beneficiaries.
